Terms of Service
Welcome to 42 Tools. These Terms of Service ("Terms") govern your use of our products and services. Please read them carefully.
1. Agreement to Terms
By accessing or using any 42 Tools products or services (including ContactLink and any future products), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our services.
These Terms constitute a legally binding agreement between you and 42 Ventures Ltd, a company registered in Hong Kong.
2. Services Overview
2.1 ContactLink Browser Extension
ContactLink is a browser extension that helps you organize your LinkedIn contacts. Key features:
Local Storage: All your ContactLink data (contacts, groups, tags, notes, reminders) is stored locally in your browser
No Cloud Backup: We do not back up your data. You are solely responsible for backing up your information
Subscription Tiers: Free (limited features), Pro, and Pro+ plans with different feature limits
2.2 Website and Community
We provide:
A marketing website hosted on Google Sites
An optional Early Adopter Community (Google Forms + LinkedIn Group)
Customer support via email
2.3 Future Products
We may release additional products. Those products will be governed by these Terms unless otherwise specified.
3. Eligibility
You must be at least 18 years old to use our services.
By using our services, you represent that:
You meet the age requirements
You have the authority to enter into these Terms
You will comply with all applicable laws
4. User Accounts and Subscriptions
4.1 Account Creation
Some features require a subscription account. When you create an account:
You must provide accurate, complete, and current information
You are responsible for maintaining the confidentiality of your account credentials
You are responsible for all activities that occur under your account
You must notify us immediately of any unauthorized access
4.2 Free Plan
Our Free plan includes a number of limited features. It is:
Are provided "as-is" without warranty
May be modified or discontinued at any time with reasonable notice
May have feature limitations compared to paid plans
4.3 Paid Plans (Pro and Pro+)
Pricing:
Pro: As detailed on our site with feature specifications
Pro+: As detailed on our site with feature specifications
Lifetime: As detailed on our site with feature specifications
Payment Terms:
All subscriptions are billed monthly in advance
Payments are processed securely by Stripe
All fees are in U.S. dollars (USD)
Prices include applicable taxes where required by law
Subscriptions automatically renew unless canceled before the renewal date
Billing:
Your payment method will be charged automatically each billing cycle
You authorize us to charge your payment method on a recurring basis
If payment fails, we will attempt to charge your payment method again
If payment continues to fail, your subscription may be suspended or canceled
Lifetime Plan:
Your payment method will be charged automatically each billing cycle
4.4 Price Changes
We reserve the right to change our pricing. If we change pricing:
We will provide at least 30 days advance notice via email
The new pricing will apply at your next renewal date
You may cancel before the new pricing takes effect
Continuing to use the service after the price change constitutes acceptance
4.5 Free Trials and Promotions
We may offer free trials or promotional pricing. These offers:
Are subject to the specific terms of the promotion
May require payment method information upfront
Will automatically convert to paid subscriptions unless canceled
Cannot be combined with other offers unless explicitly stated
5. Cancellation and Refunds
5.1 Cancellation by You
You may cancel your subscription at any time:
Cancel through your account settings or contact support
Upon cancellation, you retain access until the end of your current billing period
No refunds are provided for the remaining time in your billing period
After cancellation, you will revert to the Free plan (subject to Free plan limits)
5.2 Cancellation by Us
We may suspend or terminate your account if:
You violate these Terms
You engage in fraudulent activity or payment disputes
You abuse our services or harm other users
Required by law
If we terminate your account for cause, no refunds will be provided.
5.3 Refund Policy
No Refunds: All sales are final. We do not provide refunds for:
Partial months of service
Unused features or storage limits
Dissatisfaction with the service
Changes you don't agree with (you should cancel before renewal)
Exception: We may provide refunds at our sole discretion in cases of:
Technical errors resulting in duplicate charges
Service outages lasting more than 72 consecutive hours
Billing errors on our part
6. Data Storage and Your Responsibilities
6.1 Local Storage Model
IMPORTANT: ContactLink stores all your data locally in your browser:
We do not have access to your ContactLink data
We do not back up your ContactLink data
We cannot recover your data if it is lost
6.2 Your Responsibilities
You are solely responsible for:
Backing Up Your Data: Export your ContactLink data regularly
Data Loss Prevention: Understanding that uninstalling the extension, clearing browser data, or browser issues will result in permanent data loss
Browser Limitations: Ensuring you don't exceed browser storage limits (typically 5-10MB)
Device Security: Protecting your device with passwords and security measures
6.3 Our Responsibilities
We are responsible for:
Providing a functional browser extension
Processing payments securely
Maintaining our website and services
Responding to support inquiries
We are NOT responsible for:
Data loss due to browser issues, device failure, or user error
Recovering lost data (we don't have backups)
Browser or LinkedIn changes that affect functionality
Data loss due to uninstalling the extension or clearing browser data
7. License and Permitted Use
7.1 License Grant
We grant you a limited, non-exclusive, non-transferable, revocable license to use our services for personal or commercial purposes in accordance with these Terms.
7.2 Restrictions
You may NOT:
Modify, reverse engineer, decompile, or disassemble our software
Remove or alter any proprietary notices or labels
Redistribute, resell, rent, lease, or sublicense our software
Use our services for any illegal purpose
Attempt to gain unauthorized access to our systems
Use automated tools to scrape data from LinkedIn or our services
Circumvent usage limits or restrictions
Share your account credentials with others
7.3 Third-Party Permissions
ContactLink requires LinkedIn access. You are responsible for:
Complying with LinkedIn's Terms of Service and User Agreement
Ensuring you have permission to store and organize LinkedIn contact data
Understanding that LinkedIn may change their platform, affecting our functionality
8. Intellectual Property
8.1 Our IP
All materials provided by 42 Tools, including:
Software code and architecture
User interface and design
Logos, trademarks, and branding
Documentation and content
...are owned by 42 Ventures Ltd and protected by intellectual property laws.
8.2 Your Content
You retain all rights to the data you store in ContactLink. By using our services, you represent that:
You have the right to store and process your content
Your content does not violate any laws or third-party rights
You are responsible for compliance with data protection laws (GDPR, CCPA, etc.) if you store personal information about others
8.3 Our Use of Your Data
Because ContactLink data is stored locally, we do not have access to it. For data we do collect (payment info, support emails), see our Privacy Policy.
9. Acceptable Use Policy
You agree NOT to use our services to:
Illegal Activities:
Violate any applicable laws or regulations
Infringe intellectual property rights
Engage in fraud or identity theft
Harmful Activities:
Distribute malware, viruses, or harmful code
Conduct phishing or social engineering attacks
Harass, abuse, or harm others
System Abuse:
Attempt to hack, breach, or compromise our systems
Use automated tools to abuse our services
Interfere with other users' access to the services
Overload or disrupt our infrastructure
Data Misuse:
Scrape or harvest data without permission
Store illegal content
Violate others' privacy or data protection rights
Violation of this policy may result in immediate account termination without refund.
10. Third-Party Services
10.1 LinkedIn Integration
ContactLink integrates with LinkedIn. You acknowledge that:
LinkedIn is a third-party service with its own terms and policies
LinkedIn may change their API or platform, affecting our functionality
We are not responsible for LinkedIn's availability or changes
You must comply with LinkedIn's Terms of Service
10.2 Payment Processing (Stripe)
Payments are processed by Stripe. You acknowledge that:
Stripe's terms and privacy policy apply to payment processing
We do not store your full payment information
Payment issues should be directed to Stripe support initially
10.3 Google Services
Our website and forms use Google services. Google's terms and privacy policy apply to those services.
10.4 General Third-Party Disclaimer
We are not responsible for:
Third-party service availability or functionality
Changes to third-party APIs or services
Third-party data practices or security
Links to external websites
11. Disclaimers and Warranties
11.1 "AS IS" Service
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Uninterrupted or error-free operation
Accuracy or reliability
11.2 No Data Recovery
WE EXPLICITLY DISCLAIM ANY WARRANTY THAT:
Your data will be backed up or recoverable
The service will be available at all times
All features will work on all browsers or devices
The service will meet your specific requirements
11.3 Browser Extension Risks
You acknowledge that browser extensions:
May be affected by browser updates
Depend on browser local storage (which has limitations)
Can be affected by other extensions or browser settings
May lose data if the browser is corrupted or reset
12. Limitation of Liability
12.1 Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 42 VENTURES LTD'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF:
The amount you paid us in the 12 months preceding the claim, OR
USD $100
12.2 Excluded Damages
WE SHALL NOT BE LIABLE FOR:
Data Loss: Loss of your ContactLink data for any reason
Indirect Damages: Lost profits, lost business, lost opportunities
Consequential Damages: Any indirect or consequential damages
Incidental Damages: Any incidental damages
Third-Party Actions: Damages caused by third-party services (LinkedIn, browsers, etc.)
User Error: Data loss due to user actions (uninstalling, clearing data)
12.3 Basis of the Bargain
You acknowledge that:
The pricing reflects this allocation of risk
We would not provide the service at this price without these limitations
You have been advised to back up your data regularly
12.4 Jurisdictional Limitations
Some jurisdictions do not allow limitation of liability for consequential damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless 42 Ventures Ltd, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
Your use or misuse of our services
Your violation of these Terms
Your violation of any laws or third-party rights
Content you store or process using our services
Your violation of LinkedIn's or other third-party terms
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of Hong Kong, without regard to conflict of law principles.
14.2 Jurisdiction
You agree that any disputes shall be resolved in the courts of Hong Kong, and you consent to the personal jurisdiction of those courts.
14.3 Dispute Resolution Process
Before initiating legal proceedings, you agree to:
Contact us to attempt informal resolution
Provide a written description of the dispute
Engage in good faith negotiations for 30 days
14.4 Arbitration
If informal resolution fails, disputes shall be resolved through binding arbitration in Hong Kong under the Hong Kong International Arbitration Centre (HKIAC) rules, except:
Claims for injunctive relief
Claims involving intellectual property
Small claims court disputes (below the jurisdictional threshold)
14.5 Class Action Waiver
You agree to resolve disputes individually and waive any right to participate in class actions, class arbitrations, or representative actions.
15. Changes to These Terms
15.1 Our Right to Modify
We may modify these Terms at any time. When we make changes:
We will update the "Last updated" date
We will notify you via email (if we have your email)
Material changes will be announced with at least 30 days notice
Your continued use after changes constitutes acceptance
15.2 Your Options
If you don't agree with the changes:
You may cancel your subscription before the changes take effect
Stop using our services

16. General Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and 42 Ventures Ltd regarding our services.
16.2 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited to the minimum extent necessary, and the remaining provisions will remain in full force.
16.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
16.5 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including:
Natural disasters
War or terrorism
Government actions
Internet or telecommunications failures
Third-party service outages (LinkedIn, Stripe, Google)
16.6 Survival
Provisions that by their nature should survive termination (including liability limitations, indemnification, dispute resolution) will survive termination of these Terms.

2. Information We Collect
2.1 ContactLink Browser Extension
Important: All ContactLink data (contacts, groups, tags, notes, reminders) is stored locally in your browser using local storage. We do not have access to, do not store, and do not back up any of your ContactLink data on our servers.
The ContactLink extension requires certain browser permissions to function:
Storage: To save your data locally on your device
Active Tab: To interact with LinkedIn pages
Host Permissions (linkedin.com): To access LinkedIn contact information you choose to save
2.2 Early Adopter Community (Optional)
If you choose to join our Early Adopter Community, we collect:
Google Forms Data: Name, email address, and any feedback you provide through our Google Forms
LinkedIn Group Data: Your LinkedIn profile information visible to group members (controlled by LinkedIn's privacy settings)
This information is stored on Google's servers and in our LinkedIn group, subject to their respective privacy policies.
2.3 Website Usage
When you visit our website (hosted on Google Sites), we collect:
Usage Data: Pages viewed, time spent, and navigation patterns
Device Information: Browser type, operating system, device type
Log Data: IP address, access times, and referring URLs
Cookies: Data collected through Google Sites' default tracking and analytics

2.4 Payment Information (Pro and Ultimate Plans)
When you subscribe to a paid plan, payment processing is handled by Stripe:
Billing Information: Name, email, billing address, and payment method
Transaction Data: Purchase history and subscription status
Important: We do not store your full credit card numbers or payment details on our servers. All payment information is securely processed and stored by Stripe. We only receive confirmation of successful payments and subscription status.
2.5 Communications
If you contact our support team, we collect:

Message Content: Your questions, feedback, or support requests
Support History: Previous interactions for context

ContactLink Data: Stored locally in your browser. We do not have backups of this data. If you uninstall the extension or clear your browser data, your ContactLink data will be permanently lost.
Payment Data: Stored securely by Stripe on their PCI-compliant servers
Website Data: Stored on Google Sites infrastructure
Early Adopter Community Data: Stored in Google Forms and LinkedIn
5.2 Data Retention
ContactLink Data: Remains on your device until you delete it or uninstall the extension
Payment Records: Retained for 7 years for tax and accounting purposes
Support Communications: Retained for 2 years
Website Analytics: Retained according to Google Sites' data retention policies
Early Adopter Community Data: Retained until you request deletion or withdraw from the community
5.3 Security Measures
We implement appropriate security measures:
HTTPS encryption for all website communications
Secure payment processing through PCI-compliant Stripe
Access controls limiting who can view your information
Regular security reviews and updates
Important Limitation: Because ContactLink stores data locally in your browser, the security of that data depends on your device security. We recommend:
Using a secure, up-to-date browser
Keeping your device protected with passwords/biometrics
Being cautious on shared or public computers
Regularly backing up important data (we do not provide backups)
6. Your Rights and Choices
6.1 Access and Portability
You have the right to:
Access your ContactLink data directly through the extension interface
Export your ContactLink data at any time
Request a copy of information we hold about you (payment history, support emails)
Receive your data in a portable format
6.2 Correction and Deletion
You can:
Update or delete your ContactLink data directly in the extension
Uninstall ContactLink to remove all local data
Request deletion of your Early Adopter Community information
Request deletion of your payment and subscription history (subject to legal retention requirements)
Cancel your subscription at any time
6.3 Communication Preferences
You can control communications from us:
Opt out of marketing emails by clicking "unsubscribe"
Leave the Early Adopter Community at any time
Manage your LinkedIn group membership directly
Note: We will still send essential service-related communications (payment receipts, subscription status)
6.4 Browser and Cookie Preferences
You can manage data collection through your browser:
Clear ContactLink data by uninstalling the extension or clearing browser storage
Disable cookies through your browser settings
Use browser privacy modes
Note: Disabling certain features may affect website functionality
7. Important Limitations and Risks
7.1 No Cloud Backups for ContactLink
Critical: We do not back up your ContactLink data. If you:
Uninstall the extension
Clear your browser data
Experience browser corruption
Switch computers without exporting your data
...your ContactLink data will be permanently lost. We cannot recover it for you. We strongly recommend regularly exporting your data if it is important to you.
7.2 Browser Storage Limits
Browser local storage has size limits (typically 5-10MB). If you exceed these limits, ContactLink may not function properly or may lose data.
8. Third-Party Services
Our services interact with third-party platforms:
LinkedIn: ContactLink accesses LinkedIn with your permission. LinkedIn's privacy policy governs their handling of your data
Stripe: Payment processing is subject to Stripe's privacy policy
Google: Website hosting and forms are subject to Google's privacy policy
We are not responsible for the privacy practices of these third parties. We encourage you to review their privacy policies.
9. Children's Privacy
Our services are not intended for children under 18 years of age. We do not knowingly collect personal information from children under 18. If we learn that we have collected information from a child under 18, we will delete that information promptly.
10. International Data Transfers
42 Ventures Ltd is based in Hong Kong. Your information may be transferred to and processed in:
Hong Kong (our company location)
United States (Stripe, Google)
Other countries where our service providers operate
These countries may have different data protection laws than your country of residence. When we transfer data internationally, we ensure appropriate safeguards are in place.
11. California Privacy Rights (CCPA)
If you are a California resident, you have rights under the California Consumer Privacy Act:

Right to delete your personal information
Right to opt out of the sale of personal information (we do not sell personal information)
